The strategy

Buy what lenders can't price. Own the dirt. Run it ourselves.

Many profitable independent repair shops and car washes in Texas are owned by founders who are ready to step back, and few of them will ever get a clean sale. That's the opening.

01

Buy below what the business is worth

Many good shops run on owner-style books that lenders won't underwrite. We price acquisitions off the real estate, so the operating business comes with the building rather than on top of it.

02

Own the business and the building

Every location is split into an operating company and a real estate company. The operator pays market rent, so investors share in both the business cash flow and a hard asset.

03

An operator, not a passive owner

The sponsor already runs two repair shops and a fleet maintenance business. The same systems, staff training, marketing and brand go into every store the fund buys.

The portfolio

Two Texas assets, both open and producing cash today

Each asset will be held in its own operating company and real estate company. Detailed figures, photos and live models for each are in the investor login.

  • Open and washing cars today, with 8 covered wash bays and a vacuum canopy on a corner lot

  • Card readers in every bay, plus vending and add-on services
  • New lines of business: state emissions testing, fleet wash accounts and wash memberships
Built-in pipeline

The fund holds a right of first refusal on three more repair stores in the Houston MSA. These are not in the projected returns; they are future deals offered first to this fund.

How investors own it

One fund. Four companies. One K-1.

There is no middle holding company. Cash from all four companies pools at the fund and is paid out through a single waterfall, so one strong asset supports the other.

How investors are paid

Investors get paid first
